These Terms of Use (the “Terms”) govern your access to and use of the website at kensho-ventures.com and any services, content, or applications we make available through it (together, the “Services”), operated by Kensho Ventures LLC (“Kensho Ventures,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

Kensho Ventures publishes a company website and information about applications we develop, including the forthcoming Unfolding application. The Services are provided for informational purposes and do not constitute advice of any kind, including medical, psychological, legal, financial, or professional advice. Nothing on the Services should be relied upon as a substitute for professional judgment.

We may add, change, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or to any third party for any modification, suspension, or discontinuation of the Services.

“Kensho Ventures” and “Unfolding” are trademarks of Kensho Ventures LLC. All other trademarks, service marks, and trade names referenced on the Services are the property of their respective owners.

ANY RELIANCE ON CONTENT OBTAINED FROM THE SERVICES IS AT YOUR OWN RISK.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KENSHO VENTURES LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT KENSHO VENTURES HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF KENSHO VENTURES LLC ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Kensho Ventures LLC and its officers, members, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to (i) your use of or access to the Services, (ii) your violation of any term of these Terms, or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

We may terminate or suspend your access to the Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. You and Kensho Ventures LLC agree that any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction and venue of such courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will revise the “Updated” date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

13. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kensho Ventures LLC regarding the Services and supersede any prior agreements, written or oral, between you and Kensho Ventures LLC regarding the Services.
